Primergy Solar Management LLC is Hiring a Manager of Treasury and Compliance Near Oakland, CA

Primergy Solar, LLC is a developer, owner and operator of utility scale solar PV and battery storage projects in North America. Primergy Solar features a diverse and talented team with decades of experience in renewables project development, financing, construction, and operations. It is currently managing and progressing a significant portfolio of operational and development stage solar battery storage projects. Primergy Solar is a portfolio company of Quinbrook Infrastructure Partners and represents Quinbrook’s principal solar and solar plus energy storage investment platform in North America.

Role and responsibilities

Reporting initially to Primergy’s Chief Financial Officer, the Manager of Treasury and Compliance will be responsible for building out and managing Primergy’s debt and tax equity compliance and treasury activities. To date, Primergy has raised nearly $4 billion in third party investment and the individual will have responsibility for developing processes to manage growth of a portfolio of closed transactions which includes debt, tax equity, equity, and other structured financings. The individual will also ensure compliance with various transaction agreements, as well as corporate policies and financial regulations. This will include reviewing and opining on late stage financing agreements, managing complex multi-draw loan facilities, conducting consent and contract amendment requests with investment, and lending partners, adhering to the various reporting requirements in transaction agreements, and administering and monitoring debt service waterfalls. The Manager will review existing treasury processes and further develop plans to solidify the treasury function at the Company. In successful execution of this role, the Manager will also maintain key banking relationships and determine the most optimal approach to managing ongoing cash at Primergy. The individual will be fully integrated with our project and corporate finance team and third-party accounting firm. The Manager will work externally with our investors and across functional teams to ensure that appropriate processes are developed and followed to meet the financial and reporting needs of Primergy’s stakeholders. In addition, the Manager will be responsible for highlighting risks and upside to the various projects and overall corporate activities. The Manager will also be involved in analyzing new financings and directly supporting the broader Primergy business.

Responsibilities include:

  • Leading compliance for all Primergy financings to ensure that the company fulfills its obligations under the various agreements, including reporting, payment of interest and fees, and distribution of cash to investors.
  • Identify critical credit and compliance issues in financing and other contracts across the Primergy organization and implement corrective actions.
  • Collaborate with teams across the company to advise on risks.
  • Report to all stakeholders on treasury and compliance activities.
  • Develop, document, and maintain the Company’s approach to managing the treasury function, including management of cash, debt, and financial risk.
  • Ensure compliance with debt and tax equity covenants and regulatory requirements. Maintaining existing bank relationships with the Company’s operating banks and making recommendations on improving returns and managing risk.
  • Quickly identify “Red-Flag” risks of new development and M&A Opportunities and take appropriate action.
  • Help identify critical tasks to be performed in projects to avoid fatal flaws and make each project progress evenly across disciplines.
  • Prepare internal reports for executive leadership, fund sponsors and investors and provide timely responses to related inquiries.
  • Develop and continually improve processes to increase efficiency at the Company.
  • Ad hoc management of requests from Primergy’s fund sponsors.
  • Approximately 10% travel required. 

EDUCATION AND EXPERIENCE REQUIREMENTS

  • Requires at least a Bachelor degree in Accounting, Finance or equivalent combination of education and experience. A Master degree in a relevant discipline is preferred.
  • 5 years of relevant experience in an energy or infrastructure related role

  • Ability to quickly step into new tasks and adapt to new circumstances in a dynamic environment.
  • A willingness to work extended hours, when necessary.
