The Team You’ll Work With
We are seeking a highly skilled and motivated In-House Legal Counsel to join our team. This role will primarily focus on commercial contract drafting, data processing agreements, and staying abreast of evolving AI regulations. The successful candidate will report directly to the CEO and play a crucial role in ensuring the legal integrity and compliance of our operations. This role has a heavy commercial component and will work closely with Sales and Engineering leads to structure pricing and commercial incentives with clients.

The Impact You’ll Have
Commercial Contract Drafting and Negotiation:
-- Draft, review, and negotiate a wide range of commercial contracts including Master Services Agreements (MSAs), service orders, service agreements, vendor agreements, partnership agreements, and licensing agreements.
-- Ensure contracts are compliant with relevant laws and regulations, and aligned with Qloo’s business objectives and risk management policies.
-- Provide strategic advice to internal stakeholders on contractual matters and commercial transactions.
-- Work closely with Sales and Engineering leads to structure pricing and commercial incentives with clients.
Data Processing Agreements (DPAs):
-- Develop and maintain data processing agreements in compliance with GDPR, CCPA, and other relevant data protection regulations.
-- Collaborate with the data privacy team to ensure that all data processing activities comply with applicable laws and internal policies.
-- Advise on issues related to data privacy, data security, and data governance.
Regulatory Compliance and AI Regulations:
-- Monitor and interpret new and emerging AI regulations and ensure Qloo’s operations comply with these regulations.
-- Provide guidance on the ethical use of AI and machine learning technologies.
-- Develop and implement compliance programs and policies related to AI and data protection.
General Legal Support:
-- Provide legal advice and support on a variety of corporate matters, including intellectual property, employment -law, and dispute resolution.
-- Assist in the development and implementation of corporate policies and procedures.
-- Manage external legal counsel as necessary.
A Successful Match Brings:
Juris Doctor (JD) degree from an accredited law school.
Admitted to practice law in the state of New York.
Minimum of 4-7 years of experience in a corporate legal environment, preferably within the technology or data analytics industry.
Extensive experience in drafting and negotiating commercial contracts.
Strong knowledge of data privacy laws and regulations (e.g., GDPR, CCPA).
Familiarity with AI regulations and ethical considerations.
Excellent analytical, negotiation, and communication skills.
Ability to work independently and manage multiple priorities in a fast-paced environment.
High ethical standards and professional integrity.

We are open to different backgrounds and tenure for this hire and compensation will be commensurate with experience. Please note that equity may be included in our total package, depending on role and level.
