Job Description

We are seeking an experienced and dynamic General Counsel & Corporate Secretary to join its leadership team. This executive role is responsible for protecting Client's legal interests, ensuring compliance with applicable federal, state, and local laws, and overseeing the Legal Services staff. The General Counsel serves as the chief legal officer for Client's and its Board of Directors, managing and overseeing Executive Committee and Board operations. The position reports directly to the President and Chief Executive Officer.

Major Duties and Responsibilities

• Legal Strategy and Litigation: Develop and deploy legal strategies, including offensive and defensive litigation, while collaborating with technical and policy staff to provide input on regulations and legislation impacting the business of chemistry.
• Legal Risk Management: Manage legal risks to Client's, including political and lobbying compliance, and oversee contracts between Client's and external parties.
• Corporate Governance: Oversee corporate governance, including Board and Board Committee processes, and serve as the Corporate Secretary to the organization.
• Senior Management Team: Serve as a member of the Client's senior management team, coordinating and aligning with other Client's departments and divisions.
• Organizational Compliance: Ensure overall organizational compliance with applicable federal, state, and local laws, including antitrust risks.
• Chief Compliance Officer: Oversee and manage Client's Code of Ethics and Conduct program as the Chief Compliance Officer.
• Outside Counsel Management: Oversee the selection, retention, management, and evaluation of all outside counsel.
• Legal Services Department: Manage employees within the Legal Services department, establishing performance objectives, conducting reviews, and facilitating employee development for direct reports.
• Budget Management: Direct the development of the annual legal operational budget.

Must-Haves

• Juris Doctorate degree from an accredited law school.
• Admission to the Bar to practice law.
• 12 years of experience as an attorney.
• Eight years of advocacy or related experience.
• Demonstrated knowledge of the chemical or related industry.

Nice-To-Haves

• Federal Government (EPA) or related experience.
• Basic knowledge of Environmental, Health, and Safety (EHS) laws.
• Board and Board Governance experience.
• Trade association experience.

Job Type: Full-time

Pay: $350,000.00 - $450,000.00 per year
