A company in New Jersey is currently seeking an experienced Legal Services Contractor for a temporary position with their staff.
Reporting to the General Counsel, the contractor will be primarily responsible for assisting the Corporate Counsel in the management, maintenance of contract reviews. The contractor will also prepare, review and negotiate various commercial agreements, handle various legal matters ranging from routine contract review to those of high exposure and complexity. The contractor may also be required to assist with litigation preparation and management.
Responsibilities: Provide legal advice to relevant personnel and departments including, but not limited to:

• Preparation and review of commercial sales and service contracts
• Pre-litigation research, as needed
• Preparation, review and completion of real estate contracts
• Preparation and review of agreements across a broad array of functions, including Non-Disclosure, Procurement, technology, and security agreements.
• Work closely with the internal RFP response team to ensure consistent and accurate responses in a timely manner.
• Provide legal analysis on ethics and legal issues/topics, internal policies and other legal matters such as:
• Anti-Corruption policies (global and local)
• Gift policy - Policy review and draft of communication sent to employees
• Antitrust policies
• Employee Handbook - Review and analysis. Discuss revisions and propose language.
• Information Security issues

• Sound experience in working independently and in a team environment
• Ability to handle/resolve problems as they arise
• Ability to manage multiple projects simultaneously in a deadline driven environment
• Prior experience interacting with various departments within an organization, i.e., Sales, Human
• Resources, Marketing, etc. preferred

Experience, Educational Requisites and Certifications:

• Minimum education is Associates Degree or Certification as a paralegal
• Preferred education is JD with NY or NJ Bar Certification
• 5 years of experience reviewing contracts
