Job DescriptionAbout the RoleThe New York Times Company has an opening for an attorney with at least six years’ experience, specializing in technology and other commercial transactions. You will be part of a commercial legal and business affairs team that provides support across the business/commercial side of the company and will report to a Senior Counsel on the team. Responsibilities
Review, draft and negotiate a wide range of commercial agreements, including:
Complex technology transactions such as enterprise, IT, software/SaaS, open source software, artificial intelligence, technology platform arrangements, media and marketing services agreements, supporting all areas of the organization, including technology, data, advertising, marketing, product, human resources and finance
Various vendor / supplier agreements across the organization, working closely with the procurement team
Other commercial transactional needs, as they arise
Identify and analyze legal issues, help to determine business terms and structure transactions, and provide advice to colleagues that balances business objectives and legal risk
Advise broad spectrum of internal teams on implementation of contractual obligations, including use of product features and complex new technologies and platforms, in collaboration with legal colleagues and subject matter experts
Provide general commercial and compliance advice and training, remain current on legal decisions, statutory changes and industry developments, and advise clients accordingly
Ability to contribute to discussions of general business issues; to work well with a wide range of clients; and to work independently and as part of a team
Ability to balance competing time sensitive demands
Enthusiasm to learn new areas of practice as new needs arises
Basic Qualifications
Undergraduate and J.D. degrees from recognized institutions and a member of the New York Bar
At least six years’ relevant work experience that includes the handling of a broad range of commercial and technology transactions
Prior experience working as in-house counsel
Prior experience reviewing, drafting and negotiating technology transactions, including software licensing, SaaS platform agreements, across a variety of industries
Experience managing cross-functional input needed for contracts
Ability to interpret complex legal and regulatory material and communicate their implications in clear and simple language, both written and oral, appropriate to the audience
Motivated to find workable solutions to support business goals
Preferred Qualifications
Working knowledge of domestic and international privacy laws
The annual base pay range for this role is between $180,000.00 and $210,000.00.
