Description

We are seeking a Corporate Insurance Counsel to join our legal department. Reporting to the Chief Counsel, Governance & Strategic Transactions, you will work primarily on insurance corporate and regulatory matters supporting Verily’s insurance business, working with finance, investor relations, compliance, senior leadership team, boards of directors, and enhancing the Company’s corporate governance. The ideal candidate will be flexible and adaptable enough to learn new practice areas.

Responsibilities

  • Assists in regulatory and insurance licensing compliance by reviewing and interpreting regulations, statutes, and policies related to regulatory affairs.
  • Draft correspondence, contracts, and other legal documents to support the Company’s insurance business.
  • Remain current on applicable laws, legal/regulatory trends, and other compliance developments relevant to the Company’s insurance business.
  • Regular, periodic travel to Pennsylvania required to meet with insurance business leads and support legal needs related to the Company’s insurance business.
  • Manage corporate and securities matters, including financings, M&A, and other strategic corporate transactions, ensuring compliance with applicable SEC and NYSE/NASDAQ rules and regulations applicable to a pre-IPO company, and partner with the business on deal structure and LOI terms; lead deal agreement drafting and negotiation, and manage due diligence as well as deal process and execution.
  • Work with leadership and corporate development team on all fundraising and financing activities.
  • Work closely with leadership team and investor relations regarding public company communications, including press releases and investor presentations.
  • Support the equity administration function.
  • Advise and support corporate governance-related matters, including administration of corporate records and preparation of corporate resolutions and other corporate documents.
  • Draft and negotiate a wide variety of contracts, documents, and legal instruments.
  • Interpret key contractual provisions in light of Verily’s business objectives and business operations considerations, as well as legal or regulatory requirements, and advise internal clients on the ramifications of such provisions.
  • Assist in creating and improving agreements and templates for corporate and strategic matters.
  • Engage strategically in risk assessment and mitigation and developing innovative approaches to legal issues in support of business objectives.
  • Manage outside counsel handling certain legal matters in a cost-effective manner.
  • Efficiently and effectively analyze complex matters, laws, and the external risk environment; succinctly and competently provide effective solution-based legal advice taking into consideration legal risk and business objectives.
  • Draft and negotiate a variety of real estate related agreements.
  • Support the continuous improvement of legal processes and corporate governance.
  • Handle additional duties as necessary.

Qualifications

Minimum Qualifications:

  • J.D. from an accredited law school and member in good standing of a state bar
  • 10 years of relevant experience (law firm and in-house); corporate and securities law firm experience required; Insurance law experience required
  • Strong corporate and securities experience
  • Deep expertise in corporate fundraising at high growth companies and public company reporting and compliance ('33 and '34 Act)
  • Frequent travel to Pennsylvania 20% of time

Preferred Qualifications:

  • In-House Experience
  • Excellent communication (verbal and written) and drafting skills
  • Strong work ethic with high level of productivity while still maintaining a high level of attention to detail
  • Detail-oriented with a high level of intellectual, professional and interpersonal agility and flexibility, with the ability to handle ambiguity, combined with strong analytical and problem-solving skills
  • Demonstrated ability to think strategically and present arguments to attorneys and clients to help shape decisions made by those individuals
  • Strong personal integrity

The US base salary range for this full-time position is $216,000-$320,000 bonus equity benefits. Our salary ranges are determined by role, level, and location. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
