Vertiv Group Corp is Hiring a Corporate Counsel, Procurement and Supply Chain Management Near Westerville, OH

As Corporate Counsel, you will report to the Vice President, General Counsel, Global Corporate, and assist others within the Vertiv Global Legal Department providing strategic legal support to our Procurement and Supply Chain Management functions.

This position is located at our Corporate HQ's in Columbus, Ohio.

Responsibilities:

  • The Corporate Counsel will interact with our management, and business associates across our corporate and business functions and departments, including but not limited to, all levels of finance, accounting, tax, treasury, investor relations, manufacturing and operations, sales, procurement and supply chain, IT, engineering, and strategy and business development teams, as well as with myriad of external legal service providers, and other individuals depending on the issue at hand.
  • Draft, review, and negotiate a wide range of procurement contracts, including:
    • Master Service Agreements
    • Master Purchase Agreements
    • Non-Disclosure Agreements (NDAs)
    • Software License Agreements
    • Logistics Agreements
    • Manufacturing Agreements
    • Software-as-a-Service (SaaS) Agreements
    • Real Estate Leases
  • Advise on supplier risk management, including due diligence, contract terms to mitigate risk, and compliance with anti-bribery and corruption laws (e.g., FCPA).
  • Partner with the procurement and supply chain teams to develop and implement legal compliance programs.
  • Stay up-to-date on relevant laws and regulations impacting global procurement and supply chains.
  • Manage outside counsel relationships for specialized legal matters.
  • Proactively identify and address potential legal issues related to procurement activities.
    • Provide clear and concise legal advice to business partners in a timely manner.
    • Effectively provide counsel and support for corporate governance related matters, including, but not limited to, preparation of materials for board and committee meetings, annual stockholder meetings, etc.;
    • Effectively provide counsel and support for commercial transactions, including but not limited to, merger, acquisition, and divestiture activities, integration or divestment processes projects, and entity management and internal restructuring projects; and
    • Effectively provide counsel and support for global corporate legal matters, including but not limited to, environmental, social and governance, marketing and communications, tax, treasury, manufacturing and operations, and investor relations related matters, on as needed basis.

Qualifications:

  • Juris Doctorate from a nationally-accredited law school with strong academic credentials
  • Member in good standing of a state bar.
  • 4-6 years of relevant experience in a large law firm or in-house publicly traded company having substantial domestic operations.
  • Ability to perform legal research and compile, analyze and interpret data. Requires attention to detail and strong analytical and communication skills.
  • Collaboration. Ability to be a good team player by helping others in the legal department and other Vertiv departments, and by being versatile, positive, and diplomatic.
  • Client Service. Ability to make positive impressions on clients (internal and external) of the legal department by being polite, responsive, professional and helpful to users of legal services. Lives and displays in actions Vertiv’s values and provides candid and constructive counsel.
  • Communication. Ability to explain and advise clients of the facts and express points of view clearly, concisely, persuasively, and logically in written and oral communications. Must have excellent writing and communications skills, as well as practical and creative problem-solving skills.
  • Planning. Ability to prioritize tasks logically and plan work efficiently to maximize the administrative support for legal function available from limited resources.
  • Judgment. Ability to discriminate relevant from irrelevant information and significant/material issues from insignificant/immaterial issues. Must be able to prioritize and meet multiple and competing deadlines in a fast-paced environment.
  • Independence. Highly motivated self-starter, able to accomplish tasks, make routine decisions and handle frequently encountered problems with minimum supervision, action oriented, results driven, sets clear expectations and milestones, reviews progress, acts decisively to solve problems, accountable for consistently meeting or exceeding goals.
  • Maintain Confidentiality. Ability/self-discipline to maintain the confidentiality of client information.
