Draft and negotiate various agreements for the sale of goods and services, including non-disclosure, sales and services, purchase, consulting, and requests for proposals. The complexity of agreements may vary from simple to complex.
Manage numerous simultaneous contract negotiations using a contracts management system.
Summarize complex business and legal contractual issues for non-legal colleagues and offer pragmatic recommendations.
Analyze and mitigate contract risk (in coordination with attorneys) and provide consultation and guidance to internal clients.
Communicate with business partners to understand objectives and deadlines and to provide updates on contract status and related issues.
Manage end-to-end contracts process, from template creation and management through signature process and contract finalization.
Develop and provide on-going contracts-related training to personnel.
Participate in process improvement initiatives, special projects, legal and compliance initiatives.
Identify issues for attorney review.
Properly handle confidential information.
Support other activities (e.g. legal research) as directed by attorney(s).
Bachelor’s or Associate’s degree (in Business or related discipline) or Certified Commercial Contracts Manager (CCCM) or ABA-approved Paralegal school.
3–5 years, broad-based capital equipment or equivalent sales/service contract negotiation experience.
Strong overall business acumen.
Working knowledge of commercial and legal contract terms and negotiation techniques.
Proficient in Office 365 Suite (Word, Outlook, SharePoint, etc.).
Demonstrated and confident negotiation skills.
Excellent communication and relationship management skills.
Ability and willingness to learn and use various other software tools.
Expertise in transactions with the government and subcontractors; Knowledge of federal contracting requirements (particularly with FAR, DFARS or equivalent) and experience negotiating and completing solicitations and offers (RFQs, RFPs, IFBs).
Contracts 365 experience.
Strong analytical skills for analysis of complex agreements.
Comfortable working independently and proactively in a fast-paced environment.
Well organized and able to meet and prioritize deadlines.
Resourceful, inquisitive, proactive, detail-oriented.
