What are the responsibilities and job description for the Corporate Counsel position at AMSC?
AMSC is looking for an experienced, business-savvy, creative problem-solver with strong analytical skills to join our fast-paced legal organization and to provide commercial counseling and transactional support to AMSC on a global basis. Candidate must have a proven track record of successfully counseling various client levels on complex commercial law transactions and issues to achieve optimal business outcome with minimum risk. The candidate must be a self-starter and team player ready to assume significant responsibility as a key business partner with AMSC’s global businesses.
Functions:
- Negotiating and drafting of international and domestic business contracts, including large scale electrical equipment supply contracts (equipment only and on a turnkey basis), technology licensing agreements, technology development agreements, strategic alliance agreements, procurement contracts, distributor and OEM agreements, software license agreements, confidentiality agreements, and real property agreements.
- Implementing, enhancing and maintaining contracts and other commercial policies and procedures, and ensuring consistent application and compliance of these throughout AMSC’s global businesses.
- Domestic and international travel will be required.
- Preparing timely SEC filings.
Education - Experience:
- J.D. from accredited law school
- Admitted to the Massachusetts Bar.
- Minimum of 7 years of Legal experience.
- Minimum of 3 years experience in legal commercial counseling role.
Required Skills, Competencies, Authorities and Training Needs:
- Demonstrated strong commercial legal knowledge, including strong drafting, negotiation, and communications skills required. Must have broad experience in drafting and negotiating domestic and international business contracts and business transactions.
- Demonstrated ability to work well independently and collaboratively as part of a team, to resolve complex legal/commercial matters.
- Excellent oral and written communications skills.
- Must be business savvy and have the ability to prioritize effectively and work quickly and effectively with clients and colleagues across businesses and geographies.
- Proven ability to identify areas for improvement and to establish process improvements to reduce transaction cycle times, automate routine contract management functions and develop self service templates, tools and training.
Specific Knowledge Required:
- General commercial law, including commercial contracting under the UCC and laws of international commerce (including Incoterms).
- Commercial finance, especially revenue recognition and related areas.
Specific Knowledge Preferred:
- Antitrust/ trade regulation.
- Intellectual property.
- Foreign Corrupt Practices Act (FCPA) and similar laws internationally.
