Buchalter APC, a full-service business law firm, has an immediate opening for a Corporate Paralegal. We are open to candidates in the following offices: Los Angeles, Orange County, Portland, and Salt Lake City.
In this role, you will be supporting attorneys that have experience with a broad range of transactional and governance matters such as mergers and acquisitions, private equity, publicly and privately traded securities, corporate maintenance and formation, corporate finance, licensing, and venture capital financing.
Duties include, but are not limited to: drafting and reviewing organizational documents, including articles of incorporation or dissolution, stock certificates, and merger agreements; drafting contracts, such as non-compete agreements; creating and distributing annual reports; preparing and filing UCC financing statements; preparing summaries of corporate statutes; assisting with due diligence, including preparing, reviewing, and commenting on due diligence documents, due diligence document inventories, and disclosure schedules; maintaining client minute books and stock ledgers; preparing and filing documents with government agencies, such as the SEC, IRS and Secretaries of State of multiple jurisdictions; obtaining EINs; overseeing the contract process, including planning, collaboration, negotiation, and execution.
ESSENTIAL FUNCTIONS:
- Complies with all ethical requirements as set forth by the Rules of Professional Conduct of the State.
- Maintains confidentiality of client and Firm confidences demonstrating professionalism and integrity at all times.
- Able to submit and file necessary legal briefs and other legal documents within the various district and state courts and/or filing service in a timely manner.
- May take or transcribe legal dictation, minutes of meetings, and taped records of conferences, settlement discussions, or interviews.
- Proofreads and corrects prepared materials for correct grammar, spelling, punctuation, format, and content.
- Inputs, retrieves, updates, and deletes information using computerized databases.
- Sorts, opens, logs, and distributes incoming mail to staff; attaches incoming correspondence to case file and related materials needed for action.
- Composes routine letters and memoranda and prepares reports using knowledge of practice area and guidelines.
- Ensures documents are in proper format and contain all necessary portions or related documents for court acceptance and filings.
- Prepares and assembles materials, documents, and exhibits for meetings, court appearances, and hearings.
- Receives and screens visitors and telephone calls; responds to inquiries on a variety of matters such as the status of pending cases, administrative and court rules, and appeal procedures.
- Schedules and arranges meetings and conferences and notifies interested parties; arranges travel for attorneys including scheduling transportation and making hotel reservations.
- Schedules assigned attorneys calendar of activities, including making commitments for meetings, conferences, or other engagements.
- Conducts online and library research: locates cases, documents, data, records, depositions, opinions, reports and other information related to the matter.
- Acts as liaison with various internal departments as well as with outside vendors.
- Coordinates with the Finance Department with respect to billing matters.
WORKING CONDITIONS
- This position is hybrid offering four remote workdays per month (subject to change). The remaining work days require in-office attendance in the office.
- The office environment is professional, collaborative, and focused on supporting high-stakes legal work in a law firm.
- Overtime may be required on an as-needed basis.

California: Pay Scale: The reasonably expected pay scale for this position is $110,000 to $140,000 per year. This is an employer estimate and the salary offered within that range, and the potential for bonus and bonus amount, will depend on candidate’s years of practice, experience and performance.
