Legal Counsel (New York, NY): Our client, an $8B investment manager with a longstanding track record, is seeking an eager and motivated funds attorney to join their thriving team. Reporting into the General Counsel, this new hire will be working with the legal team, supporting the business across the funds business and with new business initiatives.

Responsibilities:
- Review and negotiate vendor agreements, engagement letters, and representation letters with internal teams, and other professional services firms
- Draft and negotiate side letters with investors
- Support the firm’s funds by updating PPMs, organizational charts, subscription documents, and IM agreements
- Analyze and prepare summaries of terms regarding underlying fund investments
- Analyze new and existing regulations and laws affecting the business; advise on securities law and regulatory matters associate
- Review and negotiate NDAs with investors and underlying fund managers
- Partner with other business groups on new business and fund initiatives
Qualifications:
- 3-5 years of relevant post JD experience, preferably as a private funds or investment management attorney from a reputable law firm; the team is open to various backgrounds as long as there is a deep understanding of private investment funds inclusive of strictly in-house legal experience
- JD required
- Experience with negotiating and drafting complex agreements, fund formation, and regulatory issues relating to private funds and registered investment advisers; demonstrated drafting skills
- Excellent analytical skills with a keen sense of judgement; strong written and verbal communications skills
- Exceptional attention to detail and organizational skills; must be proactive and a true team player
Compensation: $170-225K base; $250-350K all-in
