Job Description
Join our dynamic team and take on a pivotal role in maintaining and organizing corporate records, including managing minute books, drafting resolutions, and preparing operating agreements. You’ll oversee the preparation and filing of corporate formation documents, secure certificates of good standing, and collaborate on key finance transactions. This role also offers the opportunity to prepare and review legal contracts, manage business licensing, and drive compliance initiatives—making an impact by ensuring our operations run smoothly and stay ahead of regulatory requirements. Key Responsibilities
- Coordinate loan closings and related documents and communications with attorneys
- Provide due diligence support for potential acquisitions and dispositions
- Work directly with title company to obtain title commitments and coordinate closings with the title company
- Prepare, review, edit and coordinate contracts, leases, legal correspondence and other documents for attorneys
- Organize and maintain documents and filings to ensure compliance
- Manage the business licensing process between the company and state and local jurisdictions, including, without limitation:
- Register entities, file annual reports, and obtain good standing certificates
- Prepare and file EIN applications
- Prepare and file applications for certain entities to conduct business in other jurisdictions
- Obtain zoning letters from local jurisdictions
- Administer and maintain company bonding facilities
- Maintain files for all corporate entities and track corporate reports and records
- Manage critical dates and deadlines
- Populate document archive and hard file and electronic system
- Prepare litigation pleadings index and filings
- Organize and maintain condominium and homeowner’s association documents
- Organize and maintain lending and insurance binders
- Perform other duties as assigned
Skills, Knowledge and Expertise
- Certification of completion from an ABA- approved paralegal certification program preferred
- Real estate experience required
- Associates degree: Bachelor's degree preferred
- 5 years of experience in a paralegal role
- Excellent computer skills, including proficiency with Microsoft Office, Word, and Excel
- High attention to detail and accuracy
- Strong data analysis and research skills
- Must be highly credible and trustworthy, and operate with high degree of integrity
- Must hold oneself and others accountable and strive for a high level of excellence
- Must have a positive, can-do attitude and be able to fuel growth and innovation
- Must be customer-focused and results-oriented
