JOB SUMMARY
Reviews contracts, captures relevant terms to ensure accurate contract alerts and notices are sent.
ESSENTIAL FUNCTIONS
Knowledge and Skills
- Contract review management – manages the initial review of contracts, sorting out contracts from non-contracts; determines layout and components of a contract; conducts a thorough review of the contract capturing relevant terms and dates; determines contract completion - if incomplete, articulates what is missing.
- Data integrity control – research Vendor Vault to confirm existing contracts, missing and accuracy of appended contracts and those identified for archiving; enters contract data in Vendor Vault; responsible for the accuracy and integrity of the data.
- Contract SME – strong knowledge about vendors’ contracts, vendor services, and how the contracts are set up; applies this knowledge in day-to-day contract reviews, acts as SME to assist in process review, improvement, and implementation in other areas of the company; assist other functional areas on a project or as-needed basis.
- Creating Vendors – research new vendors, identify the services they provide, and set-up in Vendor Vault.
- SSCRR – reviews contracts submitted via Vendor Vault and completes the Preferred Contract Terms Checklist for client.
- Redlining NDAs – reviewing and changing the language of non-disclosure agreements where necessary to align with the purpose intended.
- SSVRK back-up - creates Street Smart Vendor Review Kit (SSVRK) summaries, includes reviewing SOC reports, financials, and insurance documents to create the summaries.
Problem Solving/Analysis
- Identifies issues within contracts, performing thorough analysis to extract relevant terms, and determines if any information is missing or incomplete, addressing gaps promptly.
- Utilizes critical thinking to resolve discrepancies in vendor data, performing root cause analysis to maintain accuracy and data integrity across multiple contract systems.
Business Impact and Scope
- Ensures the accuracy and integrity of vendor contracts in Vendor Vault, which directly impacts business operations by facilitating smooth contract management and compliance.
- Supports business growth by acting as a subject matter expert (SME) in contract reviews, enhancing the efficiency of cross-functional teams with detailed contract and vendor knowledge.
Communication and Collaboration
- Communicates effectively with internal teams and vendors to ensure that all contract terms are reviewed, understood, and accurately processed.
- Collaborates with different functional areas on projects or ad-hoc tasks, offering expertise and supporting team members in the contract review and vendor management processes.
Influence Responsibility/Level of Interaction
- Influences the accuracy of contract redlines and vendor setup by reviewing and modifying NDAs and ensuring vendor contracts align with company standards and legal requirements.
- Interacts regularly with internal stakeholders, such as the VSS team, and external vendors to maintain a streamlined contract review process and resolve any contract discrepancies.
Supervisory Responsibility and Autonomy
- Supervisory Responsibility – None.
- Independently manages the contract review process, making decisions regarding the completeness and accuracy of contracts and ensuring necessary redlines or amendments are made.
- Takes ownership of the Vendor Vault data integrity, conducting reviews and updates without supervision to ensure all information is accurate and up to date.
Qualifications
REQUIRED SKILLS & ESSENTIAL QUALITIES
Technical Skills
- Proficient in Microsoft Office Suite, with advanced skills in manipulating and reviewing documents within Adobe to support accurate contract revisions and data entry.
- Experienced in using databases and vendor management systems such as Vendor Vault, with a strong ability to learn and navigate new software tools, including Litera (Kira) for contract review.
Soft Skills
- Strong attention to detail and accuracy, ensuring that all contracts and vendor data are entered and maintained without errors.
- Excellent communication skills (both written and verbal), enabling clear interaction with internal and external stakeholders, as well as the ability to articulate contract issues and solutions.
- Problem-solving and critical thinking abilities, approaching challenges with a positive mindset and working persistently to find optimal solutions.
EDUCATION & EXPERIENCE
Minimum Qualifications
- Bachelors’ degree of equivalent experience.
- 3-5 years’ experience working in an office environment.
- Technical knowledge (Microsoft Office); expert level in manipulating documents within Adobe.
- Experience with databases and other technologies; experience learning new software programs.
- Experience reviewing contracts a plus.
- Financial industry knowledge a plus.
