Mergers and Acquisitions Associate Attorney (New York)
Direct Counsel is seeking a highly skilled Mid-Level Corporate M&A Associate to join a prestigious Am Law 100 firm’s growing corporate group in New York. This role is ideal for a candidate with a strong background in mergers and acquisitions, particularly in drafting principal acquisition agreements and negotiating transactions for both private and public companies.
Key Responsibilities:
- Execute merger and acquisition transactions for private and public companies.
- Draft principal acquisition agreements and participate in direct negotiations of key transaction documents.
- Provide expert legal advice and support on complex M&A transactions.
- Collaborate closely with senior associates and partners, as well as clients, to ensure timely and accurate completion of transactions.
- Conduct detailed legal analysis and research to support M&A transactions.
- Provide strategic guidance to clients on legal matters pertaining to M&A.
- Work collaboratively with colleagues across multiple departments to ensure seamless transaction execution.
Qualifications:
- JD from a nationally recognized law school.
- Admitted to practice in New York.
- Minimum 4 years of M&A experience with private and public companies, including significant experience drafting and negotiating acquisition agreements.
- Prior experience at a top-tier law firm, with directly transferable skills, is highly preferred.
- Strong academic background.
- Excellent written and verbal communication skills.
- Strong analytical and problem-solving abilities.
- Good business judgment and attention to detail.
- Ability to work both independently and as part of a team in a fast-paced, high-pressure environment.

Compensation:
- Expected salary range: $310,000 - $390,000 per year, depending on the candidate’s experience, skills, and geographic location.
