Your Role Gensler is seeking a Corporate and Compliance Counsel to join its Legal Studio. The Corporate and Compliance Counsel will report to the Director of Global Compliance and Senior Corporate Counsel. The position will be located in our Los Angeles office or our Washington, DC office and will provide global corporate and compliance legal support across the firm. The Corporate and Compliance Counsel will work with the firm’s Director of Global Compliance as a compliance specialist with responsibilities in the areas of due diligence, workplace investigations, ethics and compliance policies and training, data governance and privacy, and cybersecurity. The Corporate and Compliance Counsel will also work with the firm’s corporate legal team as a generalist with responsibilities in the areas of vendor procurement, firm architectural licensure, employment, and corporate governance. This is a one-of-a-kind opportunity for a mid-level lawyer, with a passion for understanding the business of design and a desire to work with creative leaders, to become part of the Gensler family. This is not a conventional, back-office, black-letter legal role; at Gensler you will be on the front-line, dealing with senior firm leadership on a daily basis, and partnering with them and your Legal Studio colleagues to navigate opportunities and challenges in an ever complex world. We are not just looking for an extremely talented legal professional; we need someone with a passion for being involved in the firm’s business strategy and driving it forward by providing practical guidance on a variety of legal issues. What You Will Do Manage the firm’s due diligence program, including due diligence checks on clients and vendors. Support in workplace investigations, working with firm stakeholders to ensure the firm’s compliance with ethical standards and legal obligations. Draft and update employee policies, the firm’s Code of Conduct in response to evolving risks or legal requirements. Draft Ethics Training Modules and work with firm stakeholders to deliver to relevant audiences at the firm. Work together with stakeholders to update the firm’s Risk Assessment. Manage the firm’s data governance and privacy compliance program, ensuring the program meets legal and regulatory requirements and addresses areas of greatest risk to the firm. Work together with data privacy and cybersecurity stakeholders across the firm to manage development of policies, training and awareness-raising programs, and response plans. Develop and promote compliance with policies around procurement and use of digital goods and services in the creation of digital experiences, data visualizations, and other digital client deliverables. Help to manage and protect the firm’s intellectual property portfolio, particularly in the areas of digital product design and development; negotiate related agreements and manage related disputes. Work with Gensler’s Workplace Information Solutions Platform (Wisp) team to negotiate client contracts and ensure the platform’s compliance with applicable laws. Draft, review, and negotiate commercial agreements in the areas of employment, vendor procurement, data privacy, and NDAs. Advise on global architectural licensing and regulatory compliance. Advise on corporate governance issues and compliance, including domestic and international subsidiaries. Your Qualifications Active bar admission in any U.S. state. Minimum 4 years of experience in a transactional legal setting (in a law firm and/or corporate legal department). Experience preferred in the areas of due diligence, workplace investigations, ethics training, data privacy compliance (including CCPA and GDPR), data governance, and negotiating related commercial agreements. Experience negotiating agreements for digital goods and services (buy side and/or sell side) a significant plus. Exceptional interpersonal, oral, and written communication skills, including a demonstrated ability to work with various functions and levels within an organization. Self-motivated, flexible, positive. *If the position is located in Los Angeles, CA; the base salary will be estimated between $137k - $167k plus bonuses and benefits and contingent on relevant experience.
