Key Responsibilities
- Assist in the intake, review, drafting, and negotiation of real estate contracts, which include leases, purchase and sale agreements, and construction contracts.
- Oversee and facilitate the due diligence process related to real estate transactions, ensuring meticulous attention to title, survey, zoning, and environmental reports.
- Organize and support closings, drafting and reviewing various closing documents while managing post-closing tasks for real estate, mergers and acquisitions, and capital markets transactions.
- Maintain a detailed deal pipeline database and effectively communicate with both internal and external stakeholders to drive transactions toward closure.
- Prepare and evaluate confidentiality agreements, broker agreements, letters of intent, and other ancillary real estate documents.
- Review compliance requirements for loan documentation and joint venture agreements, as well as assist in corporate entity reviews.
- Conduct thorough legal research and analysis of statutes and regulations to foster informed decision-making.
- Collaborate on matters spanning general corporate affairs, transactional processes, compliance, and data privacy.
- Outstanding drafting and analytical capabilities.
- Strong organizational and time management skills.
- Effective verbal and written communication abilities, with an emphasis on relationship-building.
- Proficient in Microsoft Office, Google Workspace, and contract lifecycle management tools (e.g., Ironclad).
- A proactive self-starter with a creative approach to problem-solving in a dynamic environment.
- High ethical standards and professionalism, with a commitment to confidentiality and quality in all deliverables.
- Exceptional attention to detail.
- Bachelor's degree and/or paralegal certification from an accredited institution.
- A minimum of 5 years of relevant legal experience, particularly in corporate law focusing on complex transactional work and commercial contracts.
- Comfort with technology platforms and a keen interest in working within an innovative business environment.
