The Position
An important part of Holley’s strategic growth plan is maximizing a key asset-Holley’s large global IP portfolio. Accordingly, this is a unique opportunity for an experienced, energetic and proactive IP counsel with strong business acumen to strategically maximize and actively protect and defend Holley’s existing IP portfolio.
While Holley’s headquarters are in Bowling Green, Kentucky, this position is located in Holley’s offices in Nashville, TN, and reports directly to Holley’s Executive Vice President, General Counsel, and Corporate Secretary (“General Counsel”).
Responsibilities
Working closely with Holley’s engineers and other key cross-functional stakeholders, including Division leaders, sales leaders, product managers, and the marketing team, the IP Counsel will take a leadership role to cost effectively and proactively protect and grow Holley’s IP portfolio to align with company initiatives and evolving business needs, which shall include the following :
- Actively manage all aspects of Holley’s IP portfolio, including trademarks, patents, copyrights, product compliance, licensing, litigation, and transactional agreements. Develop, implement, and train on practical IP-related processes, policies, and training, based on legal and regulatory requirements, industry standards, and best practices in order to support portfolio growth.
- Proactively supervise and direct outside counsel globally on all IP matters with an eye towards reducing outside legal spend.
- Coordinate and direct outside counsel on trademark oppositions, cancellations, and portfolio maintenance; review watch notices, and prepare evidence for office actions and other trademark matters.
- Review, draft, and negotiate IP-related agreements, including licensing agreements.
- Advise on IP-related matters in connection with commercial and other transactions, or with active litigation.
- Conduct trademark and patent design clearances, and research a variety of IP issues.
- Identify and analyze patent claims and perform product reviews and analyses for potential patent issues.
- Provide advice related to product compliance, including but not limited to product labelling. Advise on and review advertising and marketing strategies, claims, and social media posts.
- Perform such other projects as assigned from time to time by the General Counsel and as needed to best support the Company.
