Our client’s Corporate Trust group represents the leading corporate and municipal trustees in the United States banking industry and regularly represents financial institutions acting as corporate trustees and in other agency and / or fiduciary capacities in domestic and global financings. The firm is seeking to add a Corporate Trust Associate with a minimum of 4-to-7 years of corporate trust and / or securities experience in a busy banking and finance practice of a mid-to-large size firm, to their team.
The Associate will be responsible for drafting, reviewing and / or negotiating a variety of corporate documents including offering documents, indentures, credit agreements, trust agreements, collateral agency agreements, depositary agreements, security agreements, mortgages, control agreements, servicing agreements, administration agreements and ancillary documents.
The ideal candidate will have experience in a number of the following : Trust Indenture Act qualified transactions; Rule 144A and Reg S offerings; debt restructurings; corporate and municipal bond financing; asset-backed and mortgage-backed securitizations; insurance linked products; cross-border transactions; project finance transactions; secured high-yield debt transactions; third-party agency appointments.
JD required, as is admission to the New York State Bar. A strong academic record, interpersonal skills and professional demeanor are required. Compensation includes salary ($210K - $305K ), bonus plus comprehensive benefits. Candidates with excellent organizational skills and a team-oriented mindset will be most successful in this role. A minimum of 4-to-7 years of corporate trust and / or securities experience preferred.
