Job Overview:
We are seeking a Corporate Attorney with 2-5 years of experience to oversee SEC filings, corporate transactions, and compliance with securities laws, including the 1933 and 1934 Acts and Blue Sky laws. Reporting to the CEO, this role involves providing legal counsel, managing contracts, and mentoring junior staff. Candidates must hold a J.D., be admitted to the Texas bar, and have expertise in corporate and securities law. Experience with investment vehicles, crowdfunding, and a fast-paced environment is highly valued.
Core Responsibilities:
- Corporate & Securities Matters: Oversee corporate and securities matters, including SEC filings (proxy statements, Form 10-K, Form 10-Q, Form 8-K), entity maintenance, and corporate transactions. Ensure compliance with securities laws (1933, 1934 Acts) and regulations (Reg D, A, S, S-1 filings). Expertise in Investment Act 40, Blue-Sky Laws, and crowdfunding.
- Legal Counsel: Advise on a wide range of legal issues, including corporate, securities, real estate, and compliance.
- Contract Management: Draft, review, and negotiate complex contracts, including M&A agreements.
- Team Leadership: Mentor and guide junior attorneys and paralegals.
Required Skills and Experience:
- Legal Expertise: Strong understanding of corporate and securities law, including SEC regulations and Blue Sky laws.
- Practical Experience: Minimum of 2 years of experience in a law firm or corporate legal department.
- Technical Skills: Proficient in legal research, drafting, and negotiation.
