Job Summary
The VP of Diligence PMO is a critical role designed to support our efforts and drive timely coordination of due diligence efforts of newly acquired health systems, joint ventures, or any acquired technology or intellectual property into Novant Health as part of the Transaction Leadership Office (“TLO”). This role requires a comprehensive understanding of the entire transaction lifecycle with an emphasis on delivering pre-LOI activities and coordination with the VP of Integration as we transition to pre-integration planning. Additionally, the VP of Diligence PMO will lead coordination and operational components of due diligence activities and serve as a core resource to the deal team to ensure identified risks are appropriately managed while transitioning to our integration team.
The VP of Diligence PMO must have the ability to take charge and “own” an entire transaction with core responsibilities including navigating complex purchase documents, establishing clean room protocols, developing and validating synergy/dis-synergy plans, developing and preparing board level materials, establishing guiding principles with the VP of integration, and facilitation of due diligence read-outs / board presentations. Additionally, this role will be responsible for overall team development both within the diligence PMO and functional areas as needed. This role will be instrumental in ensuring a smooth integration of the acquired entities, and transition into our VP of Integration’s portfolio.
The VP of Diligence PMO will directly report to the SVP, Chief Transaction Officer and will require travel as necessary to support the transaction portfolio.

- Education: Bachelor’s degree, required. Finance, Accounting, or related field. Graduate Degree, required. MBA or related business field.
- Experience: 10 years M&A, Big 4 consulting, investment banking, due diligence, or integration management, required. Minimum of 10 years of professional experience, required.
- Licensure/Certification: CPA or CFA, required.
- Additional Skills (required):
- Proven track record of leading and executing complex due diligence projects with a focus on:
- Interfacing with executives to influence strategic decisions and present findings.
- Writing, reviewing, and presenting reports including findings and recommendations from M&A transaction financial due diligence perspective to our leadership team
- Standing up and supporting the Due Diligence Office (DMO) to de-risk transactions and better prepare the VP of Integration for transition to BAU.
- Setting, leading, and delivering due diligence engagement objectives by defining the scope, plan, and budget across all core functions.
- Perform initial and ongoing operational due diligence reviews
- Conduct on-site/remote due diligence meetings with senior management (e.g., CFOs, COOs, CCOs, and other support staff) to further evaluate operational-related risks
- Assist in completing and reviewing comprehensive written reports containing information and analysis related to the operational environment of potential investments
- Resolve findings, working with internal departments to address and mitigate operational due diligence-related issues
- Management of all critical functions including Virtual Data Room (“VDR”) set up, permission management, document control, and close out.
- Working knowledge of financial due diligence (i.e., Quality of Earnings, Working Capital, and Balance sheet).
- Ability to analyze target company data to identify historical and projected operating trends, quality of earnings/assets, pro forma financials, working capital calculations, debt and debt-like items and other potential liabilities/risks which impact valuation of and negotiation with the target company.
- Working knowledge and ability to manage all technical workstreams including Finance, HR, Contracts, Contracts, etc.
- Developing and prioritization of due diligence request lists.
- Developing work plans for components of engagements, coordinate activities between work streams and identify changes in scope.
- Managing cross-functional teams to deliver operational due diligence engagements and transition to our integration team.
- Mobilizing and managing multiple engagement teams / workstreams.
- Providing insight on how to operationalize major restructuring/cost transformation activities to achieve/exceed deal value, synergy targets, or strategic cost takeout objectives.
- Coordinating with deal teams to establish integration budget baselines while managing internal and external spend within each functional team.
- Partnering with integration team members and senior executives to define how they employ M&A - in alignment with their corporate strategy - to drive profitable growth and enable them to compete effectively
- Developing internal frameworks, processes, and policies to support staff development.
- Willingness to develop and manage comprehensive M&A tracking tools
- Ability to work independently and manage multiple task assignments.
- Selection and management of any third-party vendors leverages to augment internal Novant teams.
- Additional Skills (preferred):
- Understanding of healthcare systems, operations, and regulatory environments
- Working knowledge of investment banking, corporate development activities, deal sourcing and targeting
- Experience in “pressure testing” synergies with an eye towards execution and pull through in the form of customers, markets, revenue, and margins.
- Strong oral and written communication skills, including presentation skills and executive presence.
- Strong problem solving and troubleshooting skills with the ability to exercise mature judgment.
- Comfortable speaking and attending Healthcare related conference, as well as network development with other health systems, investment bankers, or other third-party advisors.
