Who You Are

We are seeking a highly skilled and specialized Corporate and Contracts Attorney with corporate experience to join our team as an in-house counsel. In this role, you will be responsible for handling all complex legal matters and projects, ensuring the legality of our commercial transactions, and providing expert advice on our company's legal rights and duties.

As a Corporate and Contracts Attorney, you will play a crucial role in safeguarding our organization against legal risks by conducting thorough research and analysis. You will develop contract language and positions on legal issues and ensure compliance with relevant laws and regulations. Additionally, you will be involved in structuring, drafting, and reviewing legal documents.

To excel in this position, you should have a strong background in contract law and some corporate law and possess excellent negotiation, communication, and analytical skills. Your attention to detail, administrative capabilities, and ability to manage complex legal projects will contribute to the success of our organization.

What You"ll Do

  • Research legal matters related to contracts and corporate affairs and ensure compliance with corporate contracts and legal rules and regulations
  • Structure, draft and review legal memorandums and other legal documents
  • Assist in the negotiation of deals and attend meetings
  • Provide counsel on a variety of legal issues
  • Ensure the legality of company practices and transactions
  • Negotiate and draft customer and vendor agreements.
  • Coordinate with internal teams and external counsel as needed.
  • Act as a resource and advisor to the leadership team.
  • Establish and maintain scalable contracting processes and templates.
  • Assist with corporate initiatives, including litigation corporate legal processes (e.g. intellectual property, mergers & acquisitions, financial / securities offerings, compliance issues, transactions, agreements, lawsuits, patents), and employment matters.
  • Serve as the liaison between various teams and leadership, ensuring all contracts meet legal and company standards.
  • Evaluate new business partnerships with vendors and subcontractors.

What You"ll Need

  • JD degree from an accredited law school and a current license to practice law
  • 3-5 years' experience as Corporate and Contracts Attorney
  • Excellent knowledge and understanding of corporate law and procedures
  • Demonstrated ability to create legal defensive or proactive strategies
  • High degree of professional ethics, integrity and gravitas
  • Ability to work well under pressure and maintain professionalism in high-stress situations
  • Ability to effectively coordinate with internal and external experts, including external counsel.
  • Positive, collaborative demeanor with a fast-paced, dynamic, and creative approach to problem-solving.
  • Excellent negotiation and communications skills
  • Analytical ability and strong attention to detail
  • Computer skills
  • Current license to practice law
  • Law firm experience a plus
