Overview
- We are seeking an experienced In-House Legal Counsel to support our growing cannabis company. The candidate will focus on managing contracts and handling day-to-day legal matters. This role involves collaborating with internal teams and engaging specialized cannabis law firms as needed to ensure compliance and mitigate legal risks. The successful candidate will be proactive, strategic, and able to navigate complex legal challenges while maintaining strong working relationships across the organization.
Key Responsibilities
- Serve as the primary legal advisor for daily business operations, focusing on contract management and routine legal issues.
- Draft, review, and negotiate a wide range of contracts, including vendor agreements, service contracts, and partnership agreements.
- Provide guidance on general corporate governance matters to ensure alignment with company policies and industry standards.
- Lead corporate governance cleanup and organization efforts, ensuring all records, filings, and procedures are up-to-date and compliant.
- Monitor federal, state, and local cannabis regulations and advise on compliance requirements to reduce potential risks.
- Collaborate with external cannabis-specialized law firms for legal expertise on specific, complex matters.
- Develop and maintain internal compliance programs and assist with the creation of company policies.
- Support the company’s regulatory filings, licensing applications, and renewals as needed.
- Offer legal advice to support daily operational needs across various departments, including manufacturing, distribution, and retail.
- Conduct legal research and risk assessments, providing clear and practical recommendations to the leadership team.
- Assist with intellectual property matters, including basic trademark management and protection strategies.
- Provide input on employment law concerns and assist with reviewing company-wide policies. Required Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with a state bar association.
- Minimum of 5 years of relevant legal experience, with expertise in corporate and contract law.
- Experience advising on legal issues within regulated industries.
- Strong knowledge of business and contract law, including experience drafting and negotiating agreements.
- Ability to manage multiple projects and respond promptly to changing business needs.
Preferred Qualifications
- Prior experience as in-house counsel or within the cannabis, biotech, or similarly regulated industry.
- Familiarity with multi-state cannabis regulations.
- Experience working with external legal counsel for specialized guidance.
- Background in intellectual property law or compliance documentation.

Working Conditions
