Summary/Job Scope
The Paralegal will play an integral role in assisting both the US and the Canadian legal departments in a variety of administrative and compliance reporting and tracking tasks; managing and reviewing certain of the Company’s commercial contracts and leases; and facilitating the Company’s responses to requests arising in litigation, administrative proceedings, and similar disputes.

Summary/Job Scope
The Paralegal will play an integral role in assisting both the US and the Canadian legal departments in a variety of administrative and compliance reporting and tracking tasks; managing and reviewing certain of the Company’s commercial contracts and leases; and facilitating the Company’s responses to requests arising in litigation, administrative proceedings, and similar disputes.
Key Responsibilities
- Assist in a range of administrative legal department tasks such as invoicing, internal reporting, reserves reporting, expense reimbursement, scheduling travel and deadline management/scheduling. The ideal candidate will be able to interface across departments and functional areas within the Company to maximize efficiencies.
- Provide contract management expertise for complex commercial contracts, including: purchase and sale contracts, non-disclosure agreements, service agreements, commercial contracts, leases, consulting agreements and miscellaneous matters.
- Review, draft revisions and advise on certain basic contracts (such as purchase orders, NDAs) relating to the Company’s day to day operations, primarily relying on pre-existing templates.
- Assistance with completion of and management of purchase orders, change orders and work orders, security instruments (such as bonds and LOIs) and other contract documents.
- Maintain legal department filing systems (Galaxy) & assist with integration of software and systems as they arise. Maintain the legal department tracking system for pending and threatened litigation and for potential acquisitions/divestitures and real estate transactions. Prepare reports and summaries of such matters for use by the legal department, others within the Company and internal/external auditors.
- Assisting with implementing the Company’s Records Retention program in the US, including annual facility clean-up days and responses to business unit questions about disposal of records.
- Assist in managing and reviewing budgets provided by third parties such as outside counsel or other legal service vendors.
- Provide support on various litigation matters, administrative proceedings and other disputes, including by issuing litigation hold notices and managing compliance; compiling records and preparing responses to third-party legal requests (e.g., subpoenas, garnishments, information requests); coordinating responses to discovery requests and managing communication with outside counsel; assisting with managing administrative proceedings (EEOC, state human rights departments, MSHA, etc.), mediations, arbitrations, and in-house matters, including scheduling and filings; monitoring outside counsel budgets and expenses.
- Assist in mergers, acquisitions, divestitures and other transactions, compile transaction closing sets, and track completion of post-transaction requirements.
- Address Know Your Client (KYC) and similar requests from financial institutions.
- Manage and track business licenses and applications (primarily for Northern Illinois), ensuring timely renewal and addressing any issues during the process.
- Handle a variety of confidential legal matters.
- Experience in a law firm or in-house legal department preferred.
- Experience in handling litigation, real estate and/or contract matters, with a strong desire broaden such experience into other areas.
- 2 years of corporate work environment, preferably in a company with a global presence.
- Strong oral and written communication skills.
- Excellent skills in Microsoft Word, Excel, PowerPoint and Outlook, as well as contract and matter management software. Experience with SAP and Concur preferred. The ideal candidate will be comfortable leveraging technology in a safe and manageable way that is in accordance with Company policies.

Salary : $75,000 - $85,000
