Sojitz Corporation of America is Hiring a Sr. Manager of Consolidations and M&A Accounting Near New York, NY

We are looking for a Senior Manager - Consolidation and M&A Accounting Integration to join our Accounting group. The individual will report to VP & GM of Accounting and will be responsible for overseeing the integration of newly acquired entities into SCA’s close and reporting processes. The individual will work with the accounting teams of the acquired entities, as well as with the various functional teams across SCA on the integration process.

This role will review the work of consultants performing the accounting due diligence process for potential acquisition targets, assist in the evaluation of complex technical accounting issues relating to business combinations, coordinate the purchase price allocation process for completed acquisitions, assist in the preparation of disclosures surrounding acquisitions, serve as the primary accounting representative responsible for the successful accounting integration of new acquisitions, in addition to reviewing monthly close activity for newly acquired businesses during the integration period.

This role will also be available to assist in other accounting transformation efforts in between acquisitions and other ad-hoc accounting projects as needed.

Job Responsibilities:

  1. Responsible for oversight of planning, coordinating and managing the accounting due diligence process for potential acquisitions or investments, working with and reviewing the results of due diligence performed by 3rd party consultants.
  2. Review draft purchase and sale agreements, closing statements, flow of funds and prepare/ review post-close opening balance sheet journal entries.
  3. Support the end-to-end PMI process, including creation of the integration plan, organizing Day 1 activities, and project managing each business function plan. This includes the support to business units with strategy development and execution of an integration plan.
  4. Manage the preparation of the purchase price allocation in accordance with ASC 805.
  5. Prepare or review monthly close journal entries and other close activities to ensure the appropriate consolidation of post-acquisition activity during the integration period.
  6. Manage the integration and implementation process for acquired companies, including the transition of responsibilities, harmonization of accounting policies and close process.
  7. Develop and maintain a system of controls, policies, and procedures with newly acquired entities where necessary.
  8. Enforce strict adherence to the company’s internal controls in place related to Revenue and Financial Reporting.
  9. Assist in the analysis and documentation of a wide range of complex technical accounting issues including acquisitions/purchase price allocations, investments, revenue recognition, financing transactions, stock-based compensation, and executive compensation arrangements, etc.
  10. Drive process improvement and re-engineer integration procedures toward a standard solution.
  11. Collaborate with the close and consolidation teams to facilitate the transition of general ledger activities post-merger.

Qualifications:

  1. Bachelor’s Degree required
  2. 6 years of progressive accounting experience, with 6 or more years of supervisory experience
  3. Combination of public accounting experience and private industry, required
  4. Advanced excel skills, required
  5. Experience with post-acquisition accounting integrations. Proficiency in technical accounting standards and financial reporting requirements
  6. Experience working in accounting research and documentation as well as performing ASC 805 purchase price allocations
  7. Advanced knowledge of US GAAP and IFRS
  8. Strong communication, organizational, analysis, problem solving and decision-making skills
  9. Certified Public Accountant (CPA), strongly preferred
  10. Big 4 accounting firm experience is a plus
  11. Experience working with/in consulting firms or large multinational businesses across multiple geographical entities
  12. Understanding of monthly operational accounting close activities
  13. Strong interpersonal skills for interacting with cross functional teams and upper management
  14. Ability to multi-task and handle several deadlines simultaneously

Hybrid: 2.5 Days in Office

Salary: $135-145,000
